Emergency services were called to the scene of the accident, 3km west of Parkes on the Condobolin Road.
The driver of the truck, a 40-year-old Victorian man, was travelling west when he was distracted by something in the cabin and lost his concentration.
The truck, carrying 560 sheep, veered off the road, got caught in a culvert and rolled on its side.
Police, NSW Ambulance, Fire and Rescue NSW, NSW Rural Fire Service, NSW State Emergency Service and Parkes Shire Council all attended.
The vast majority of the sheep were euthanised due to their extensive injuries.
The driver was not injured in the accident.
Investigations are continuing.

A 46-year-old Parkes male will face Parkes Local Court after being charged with a number of offences.
Jason Crotty was arrested at 6.30am on Tuesday and charged with assault, breach of bail and malicious damage as a result of offences occurring between October 7 and October 10.
He was refused police bail and appeared before an Authorised Justice in Parkes Local Court on Tuesday where he was also refused bail.
He will appear in Parkes Local Court on Monday, October 16.

A 27-year-old man was taken to Orange Hospital after a car crash on The Escort Way, Forbes, on Sunday night.
A police spokesperson said it appeared the vehicle lost control near the intersection with Yellow Box Road at about 11pm.
The vehicle hit a tree and was badly damaged, the driver was taken by ambulance to Orange hospital.
